These Platform Terms of Service ("Terms") govern all access to and use of the Solaryien Connect platform, including the website located at SolaryienConnect.com, the Solaryien Connect mobile application, and all related services (collectively, the "Platform"), operated by Solaryien, Inc., a Florida corporation ("Solaryien," "we," "us," or "our"). By accessing or using the Platform in any capacity, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.
Solaryien Connect is a two-sided marketplace that connects homeowners and commercial project owners with verified construction contractors and trade professionals. The Platform serves two primary user types: (a) Project Posters — homeowners, commercial property owners, developers, and general contractors who post projects, generate leads, or invite contractors to bid; and (b) Contractors — licensed and verified construction contractors and trade professionals who subscribe to receive leads and bid on projects in their selected service areas. Solaryien, Inc. is not a party to any contract formed between a Project Poster and a Contractor through the Platform and does not perform any construction work.
2.1 All users must create an account to access most Platform features. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
2.2 You must be at least 18 years of age to create an account. By creating an account you represent that you are 18 or older and have the legal capacity to enter into binding agreements.
2.3 Contractor accounts are subject to additional verification requirements as described in the Contractor Verification Agreement. A contractor account is not activated for lead receipt until all verification requirements are satisfied.
2.4 You may not create more than one account. You may not transfer your account to any other person or entity. Solaryien reserves the right to refuse registration or cancel accounts at its discretion.
3.1 Contractors access leads and marketplace features through paid subscriptions as described in the Contractor Subscription Agreement. Subscription tiers, pricing, coverage areas, and billing terms are governed by the Contractor Subscription Agreement, which is incorporated into these Terms by reference.
3.2 All subscription fees are non-refundable except as expressly provided in the Contractor Subscription Agreement or as required by applicable law.
3.3 Solaryien reserves the right to modify subscription pricing with thirty (30) days written notice to active subscribers. Existing subscribers may cancel before the price change takes effect without penalty.
4.1 When a homeowner or project owner submits a project request, the Platform distributes that request to a limited number of subscribed and verified contractors in the relevant service area based on the Platform's distribution algorithm. Solaryien does not guarantee any specific number of leads, any minimum lead volume, or any particular lead quality.
4.2 On the residential platform, the homeowner is shown the identity of the contractors who received their lead. Contractors consent to this disclosure by subscribing to the Platform.
4.3 On the commercial platform, job postings are visible to all subscribed contractors in the relevant service area. Posting parties may also send direct invitations to bid to specific contractors.
4.4 Solaryien does not verify the accuracy of project descriptions submitted by homeowners or project owners. Contractors are responsible for independently evaluating the scope and conditions of any project before submitting a bid or entering into a contract.
4.5 Solaryien does not guarantee that any lead will result in a contract award, that posted projects will proceed, or that any party will perform their obligations under any contract formed through the Platform.
5.1 Contractors represent and warrant that they hold all required licenses for the work they advertise and perform, maintain all required insurance coverages, comply with all applicable laws and regulations, and perform work in a professional and workmanlike manner.
5.2 Contractors may not misrepresent their credentials, experience, insurance, or any other information on their profile or in communications through the Platform.
5.3 Contractors who receive a lead through the Platform may not share that lead with any other contractor or third party, and may not use lead information for any purpose other than responding to the specific project described in the lead.
5.4 Contractors must respond to leads and project invitations in a professional and timely manner. Repeated failure to respond to leads may result in suspension or termination of the contractor's subscription.
6.1 Project Posters represent that all project descriptions are accurate and complete, that they have authority to authorize the described work, and that they intend in good faith to proceed with the project if a satisfactory bid is received.
6.2 Project Posters may not use the Platform to solicit contractor information for purposes unrelated to legitimate construction projects, to collect contractor bids without genuine intent to proceed, or to engage in any fraudulent, deceptive, or manipulative conduct.
6.3 Project Posters are solely responsible for independently verifying the credentials, insurance, and qualifications of any contractor they select, notwithstanding the Platform's verification processes.

The Platform may include a review and rating system for contractors. Reviews must be based on genuine first-hand experience with the contractor's services. Solaryien reserves the right to remove reviews that violate these Terms or that it determines in its sole discretion to be false, misleading, or in violation of any applicable law. Solaryien does not endorse any contractor, and reviews do not constitute a warranty or guarantee of any contractor's performance.
All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, software, data compilations, and the Platform's proprietary lead distribution methodology — are owned by Solaryien, Inc. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without Solaryien's express written permission.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SOLARYIEN DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOLARYIEN DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM, INCLUDING PROJECT DESCRIPTIONS, CONTRACTOR PROFILES, OR REVIEWS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLARYIEN, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING DAMAGES ARISING FROM ANY CONTRACT, DISPUTE, OR RELATIONSHIP BETWEEN A PROJECT POSTER AND A CONTRACTOR, REGARDLESS OF WHETHER SOLARYIEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SOLARYIEN'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO SOLARYIEN IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Solaryien, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with your use of the Platform, your violation of these Terms, your violation of any applicable law or regulation, or any dispute between you and any other user of the Platform.
13.1 Any dispute arising out of or relating to these Terms or your use of the Platform shall first be submitted to informal negotiation by notifying Solaryien in writing at the address below. The parties agree to negotiate in good faith for a period of thirty (30) days before initiating any formal proceeding.
13.2 If informal resolution fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in Polk County, Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
13.3 YOU AND SOLARYIEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
These Terms shall be governed by the laws of the State of Florida without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, it shall be resolved exclusively in the state or federal courts located in Polk County, Florida.
Solaryien reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email or by prominent notice on the Platform at least thirty (30) days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
Solaryien may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Platform ceases. Sections 9 through 14 of these Terms shall survive termination.
