This Contractor Subscription Agreement ("Agreement") is entered into between Solaryien, Inc., a Florida corporation operating the Solaryien Connect platform ("Solaryien"), and the contractor entity or individual identified in the subscription registration ("Contractor"). By completing the subscription registration process and paying the applicable subscription fee, Contractor agrees to be bound by this Agreement.
1.1 Solaryien Connect offers the following subscription tiers. All pricing is stated in U.S. dollars.
1.2 Connect Complete plans include access to Solaryien Apex estimating and takeoff software in addition to residential and commercial lead access. Connect Complete is priced at 20% off the combined cost of the individual components.
1.3 The Florida regions are defined as: R1 — Panhandle/Emerald Coast; R2 — North Florida/First Coast; R3 — Nature Coast/Central West; R4 — Tampa Bay/Sun Coast; R5 — Central Florida; R6 — Treasure Coast/Gold Coast; R7 — Southwest/Lee Island Coast. Standard plans include any 3 regions selected at signup. Pro plans include all 7 regions.
1.4 Subscriptions are billed annually. Pricing is set per the published annual rate for each plan and tier. Contractor acknowledges the pricing structure as published on the Platform.
2.1 Subscription fees are billed annually at the start of each subscription period. Payment is due in advance of each period. Solaryien accepts payment by major credit and debit cards processed through Stripe or such other payment processor as Solaryien designates.
2.2 All fees are non-refundable except as expressly provided in Section 9 of this Agreement. Contractor acknowledges that lead volume, lead quality, and project outcomes cannot be guaranteed, and that the subscription fee represents payment for access to the Platform and lead distribution system — not a guarantee of any specific results.
2.3 Auto-Renewal. Unless Contractor cancels before the renewal date, subscriptions automatically renew for successive periods at the then-current subscription rate. Solaryien will send a renewal reminder no less than fifteen (15) days before each renewal date.
2.4 Solaryien reserves the right to change subscription pricing with thirty (30) days written notice. If Contractor does not cancel before the effective date of the price change, the new pricing will apply to the next renewal period.
2.5 A one-time background check fee of $50 is required of every contractor to cover the cost of background check and license verification processing. This fee is not charged at sign-up; it must be completed before the platform launches, and Contractor will be notified separately with a window to complete it. No contractor is active at launch without a completed and paid background check. This fee is separate from and in addition to any subscription fee and is non-refundable.
3.1 Residential leads are distributed to 3-5 subscribed, verified contractors per lead based on service area and rotation. Commercial leads are distributed to all subscribed contractors in the relevant service area. Direct invitations to bid may also be received from project owners.
3.2 Solaryien does not guarantee any minimum number of leads per period, any specific lead quality or project value, or any conversion rate from leads to awarded contracts. The Platform is a lead generation tool — the outcome of any client relationship is solely the responsibility of Contractor.
3.3 Lead information — including homeowner names, contact information, and project details — is confidential and may be used only for the purpose of responding to the specific lead. Contractor may not share lead information with third parties, use it for marketing purposes unrelated to the specific project, or retain it after the lead has been declined or the project has been closed.
3.4 Apex Integration. Contractors who subscribe to Connect Complete plans receive leads directly within the Solaryien Apex application. Leads appear in a dedicated Lead Tab. Contractor may accept or decline each lead. Accepting a lead automatically generates a project record in Apex. Declining removes the lead from the active tab and archives it. Accepted projects progress through Lead → Bid → Won/Active → Archived stages within Apex.
4.1 Contractor represents and warrants throughout the subscription term that: (a) Contractor holds all required Florida contractor licenses for the services Contractor advertises on the Platform; (b) Contractor maintains General Liability insurance at coverage levels meeting Platform minimums; (c) Contractor has passed and will maintain current background check status as required by the Platform; and (d) all information in Contractor's profile is accurate, current, and complete.
4.2 Contractor must promptly notify Solaryien of any material change to Contractor's license status, insurance coverage, or any criminal conviction or adverse background information within five (5) business days of the change.
4.3 Contractor agrees to respond to leads and invitations to bid in a professional and timely manner. Excessive non-response may result in suspension of lead delivery at Solaryien's discretion.
4.4 Contractor may not circumvent the Platform by entering into contractual relationships with project owners or homeowners found through the Platform for subsequent projects outside of the Platform during the subscription term and for one (1) year following termination.
Contractor's subscription is contingent on satisfactory completion of all verification requirements including valid Florida contractor license, current General Liability insurance COI, individual background check, and payment of the one-time $50 background check fee. Failure to maintain any verification requirement will result in suspension of lead delivery until the requirement is satisfied. Contractor authorizes Solaryien and its third-party verification providers to conduct the background check and license verification described in the Contractor Verification Agreement.
Contractor's verified profile is publicly visible to homeowners and project owners on the Platform. Contractor grants Solaryien a non-exclusive, royalty-free license to display Contractor's profile information, trade name, logo, photos, and reviews on the Platform for the purpose of operating the marketplace. Contractor retains ownership of all content submitted to the Platform. Contractor may not submit false reviews of other contractors or solicit false reviews of Contractor's own services.
Solaryien Connect, the Platform, and all associated software, content, and methodology are proprietary to Solaryien, Inc. Contractor receives a limited, non-exclusive, non-transferable license to access and use the Platform solely for the purposes described in this Agreement. Contractor may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Platform.
8.1 This Agreement commences on the date of initial subscription and continues for successive subscription periods until terminated by either party.
8.2 Contractor may cancel at any time. Cancellation takes effect at the end of the then-current paid subscription period. No refund is provided for the remaining period except as provided in Section 9.
8.3 Solaryien may terminate this Agreement immediately and without refund if Contractor: (a) fails any verification requirement; (b) misrepresents credentials, insurance, or professional qualifications; (c) violates the Platform Terms of Service; (d) engages in fraudulent, deceptive, or abusive conduct; or (e) is convicted of a crime that Solaryien determines in its reasonable discretion is incompatible with Platform participation.
All subscription fees are non-refundable. The one-time $50 background check fee is non-refundable. If Solaryien terminates this Agreement without cause, Solaryien will refund a pro-rated portion of any prepaid subscription fee for the unused portion of the then-current subscription period. No refund is provided for terminations based on Contractor's violation of this Agreement or the Platform Terms of Service.
SOLARYIEN'S TOTAL LIABILITY TO CONTRACTOR UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY CONTRACTOR IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SOLARYIEN BE LIABLE FOR LOSS OF PROFITS, LOSS OF LEADS, LOST BUSINESS OPPORTUNITIES, OR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. SOLARYIEN MAKES NO WARRANTY REGARDING LEAD VOLUME, LEAD QUALITY, OR BUSINESS OUTCOMES.
This Agreement is governed by the laws of the State of Florida. Any dispute shall first be subject to thirty (30) days of good-faith negotiation, followed by binding arbitration in Polk County, Florida under AAA rules. Class action waiver applies as described in the Platform Terms of Service.
This Agreement, together with the Platform Terms of Service, the Privacy Policy, and the Contractor Verification Agreement, constitutes the entire agreement between the parties regarding Contractor's subscription and use of the Platform. In the event of conflict, this Agreement governs contractor subscription matters.
